Welcome to the AceChatbot service provided by Ace Tax Technology, LLC (“Ace Tax”, “we”, “us”, or “our”), a limited liability company registered in the state of Texas. By accessing or using the AceChatbot service, you agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated herein by reference.

Service Description

The AceChatbot is an artificial intelligence-powered chatbot designed to assist users with tax-related research and information.The chatbot is accessible through our website and is intended to provide general guidance and information, not personalized tax advice or recommendations. 

The AceChatbot service provided by Ace Tax Technology, LLC, is intended for use by individuals aged 13 and older. Users must be at least 13 years of age to register for and use the AceChatbot service. For users under the age of 18, parental or legal guardian consent is required to use the AceChatbot service. By allowing a minor to use the service, the parent or guardian agrees to the Terms of Use on behalf of the minor and accepts responsibility for the minor’s use of the service. Ace Tax Technology will collect and use personal data from minor users in compliance with applicable data privacy laws, such as the Children’s Online Privacy Protection Act (COPPA). The collection and use of such data will be limited to what is necessary to provide the AceChatbot service, and enhanced security and privacy measures will be implemented to protect the data of minor users. Ace Tax Technology reserves the right to suspend or terminate a user’s access to the AceChatbot service if there is reason to believe the user is a minor who has not obtained the necessary parental/guardian consent, or if any violation of these age-related requirements is detected.

Limitations Of The Service

The AceChatbot is not a substitute for professional tax advice. The information and responses provided by the chatbot are for educational and informational purposes only and should not be relied upon as a basis for tax planning, tax filing, or other tax-related decisions. Users are solely responsible for their own tax-related decisions and actions.

Acceptable Use

The AceChatbot service is provided for lawful and ethical use only. Users are expected to use the service in a manner that is consistent with applicable laws and regulations, as well as the terms of these Terms of Use. Prohibited activities include, but are not limited to:

  • Unauthorized access or use of the AceChatbot service, including attempts to circumvent any security measures or access restricted areas.
  • Infringement of intellectual property rights, such as the unauthorized use of copyrighted materials, trademarks, or trade secrets.
  • Engaging in illegal, fraudulent, or deceptive activities, including the transmission of malware or the use of the service for criminal purposes.
  • Disrupting the normal operation of the AceChatbot service or interfering with other users’ access and use of the service.
  • Collecting or storing personal data of other users without their consent, in violation of applicable data privacy laws.
Ace Tax Technology reserves the right to suspend or terminate user access to the AceChatbot service for any violations of this Acceptable Use policy. Users are solely responsible for their actions and any resulting damages or liabilities.

User Responsibilities

By using the AceChatbot service, you agree to the following:
  • You will use the service in good faith and in compliance with all applicable laws and regulations.
  • You will not attempt to reverse engineer, decompile, or otherwise access the underlying code or algorithms of the AceChatbot.
  • You will not use the service for any unlawful or unauthorized purpose, including but not limited to tax evasion or fraud.
  • You will not share or distribute any confidential or proprietary information obtained through the use of the AceChatbot service.

Intellectual Property

The AceChatbot service, including its underlying technology, content, and branding, is the property of Ace Tax Technology, LLC and is protected by copyright, trademark, and other intellectual property laws. Users are granted a limited, non-exclusive, non- transferable license to use the AceChatbot service for their personal, non-commercial purposes.

Use of Third-Party Services

The AceChatbot service may utilize or integrate with various third-party services, technologies, and data sources in order to provide its functionality. These third-party services may include, but are not limited to, natural language processing, machine learning, and tax research databases.

 

By using the AceChatbot service, you acknowledge and agree that:

  • Ace Tax Technology may share certain user data, such as chat transcripts and queries, with third-party service providers in order to facilitate the operation and improvement of the AceChatbot. Ace Tax Technology will handle such user data in accordance with its Privacy Policy.
  • The terms of service, privacy policies, and other legal agreements of the third-party service providers may apply to your use of the AceChatbot service. You are responsible for reviewing and complying with the applicable terms of such third-party providers.
  • Ace Tax Technology is not responsible for the availability, reliability, or performance of any third-party services used in the AceChatbot, nor for any issues, damages, or losses that may arise from your use of such third-party services.
  • Ace Tax Technology does not endorse or make any representations or warranties regarding the third-party services used in the AceChatbot, and any use of such services is at your own risk.

Confidentiality

Ace Tax Technology is committed to protecting the confidentiality of user data and information collected through the AceChatbot service. We will handle all user data, including chat transcripts, queries, and any other personal or financial information, in accordance with our Privacy Policy and applicable data privacy laws and regulations.

Ace Tax Technology will not share, sell, or disclose user data to any third parties, except as necessary for the operation and improvement of the AceChatbot service, or as required by law in response to a valid legal request or subpoena. We will implement appropriate technical, administrative, and physical safeguards to protect user data from unauthorized access, use, or disclosure. 

Users have the right to access, correct, or delete their data by contacting Ace Tax Technology at [email protected]. We will respond to such requests in a timely manner and in accordance with applicable laws.

Confidentiality

All personal and usage data will be handled according to the Ace Tax Technology, LLC Privacy Policy.

Disclaimer Of Warranties

The ACECHATBOT service is provided “AS IS” and without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ace tax does not guarantee the accuracy, completeness, or timeliness of the information provided by the acechatbot.

Limitation Of Liability

In no event shall ACE TAX be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the use of the acechatbot service, even if ace tax has been advised of the possibility of such damages. ace tax’s total liability for all claims related to the acechatbot service shall not exceed $100.

Indemnification

By using the AceChatbot service, you agree to indemnify, defend, and hold harmless Ace Tax Technology, LLC, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:
  • Your use of and access to the AceChatbot service;
  • Your violation of any term of these Terms of Use;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
  • Any claim that your use of the AceChatbot service caused damage to a third party.
This indemnification obligation will survive the termination of your use of the AceChatbot service and these Terms of Use.

Governing Law And Dispute Resolution

By using the AceChatbot service, you agree to indemnify, defend, and hold harmless Ace Tax Technology, LLC, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:

Termination

Ace Tax reserves the right to suspend or terminate your access to the AceChatbot service at any time, for any reason, including if we reasonably believe you have violated these Terms of Use.

Changes To The Terms Of Use

Ace Tax may update these Terms of Use from time to time. We will notify you of any material changes by posting the updated terms on our website or by other means. Your continued use of the AceChatbot service after such notice will constitute your acceptance of the revised Terms of Use.
